Roblox Extended Services Program Terms of Use

These Extended Services Program Terms of Use (the “Extended Services Terms”) are a contract between you or the Community you represent (“Creator”) and Roblox. These Program Terms incorporate the Roblox Terms of Use (“Roblox Terms”) by reference so please be sure to read and understand those as well. To the extent that there are conflicts between these Extended Services Terms and the Roblox Terms, these Extended Services Terms will control. This next part is very important:

PLEASE READ THESE TERMS CAREFULLY. YOU HEREBY UNDERSTAND AND ACKNOWLEDGE THAT YOU ARE AGREEING TO BINDING INDIVIDUAL ARBITRATION OF MOST DISPUTES WITHOUT THE RIGHT TO GO TO COURT INDIVIDUALLY OR AS PART OF A CLASS ACTION. FOR MORE INFORMATION, SEE SECTION 11 OF THE ROBLOX TERMS.

We may update these Extended Services Terms from time to time, in our sole discretion. Because our services are evolving over time, we may change or discontinue all or any part of the services, including the Extended Services, at any time and in our sole discretion. To the extent required by applicable law, Roblox will provide you with reasonable advance notice of any material updates or modifications by any reasonable means of notification, provided that non-material changes, feature updates, or modifications made for legal reasons (as determined by Roblox) will be deemed to be effective immediately and without notice.

Changes will be in effect as of the “Last Updated” date listed atop this page. Your continued use of the Extended Services (defined below) after the Last Updated date constitutes your acceptance and agreement to such changes.

1. Agreement to Terms.  By accepting these Extended Services Terms, you agree to be bound by the following terms. If you do not agree to be bound by these Extended Services Terms, do not use the Extended Services.

2. Defined Terms.   Any capitalized words not defined below have the meaning defined in the Roblox Dictionary.

1. 1. “Creator Hub” means the Service Roblox provides available at https://create.roblox.com. 
   2. “Extended Services” means each of the services made available by Roblox as part of the “Extended Services” suite of features. Extended Services are considered Services under the Roblox Terms. Extended Services do not include Third-Party Services.
   3. “Extended Services Account” means an account created by a User when signing up for the Extended Services in order to access certain elements and functionality of the Extended Services.
   4. “Fees” means payments (including any Transaction Taxes) you may be required to pay Roblox from time to time as part of your use of the Extended Services.
   5. “Roblox Account” means a User’s account created on the Roblox Platform in order to access the services and applications offered by Roblox.
   6. “Term” means the term of these Extended Services Terms, as further described in Section 10(a).
   7. “Termination Date” means the effective date of termination provided in a notice from one party to the other in accordance with Section 10(b) or Section 10(c), as applicable. 
   8. “Transaction Taxes” means any sales, use, value-added, excise, gross receipts, ad valorem, goods and services, duties, custom fees and other taxes, however designated, and other transaction taxes or fees of any kind imposed with respect to supplies in any country, state or locality. You agree to comply with any and all applicable tax laws, including the reporting and payment of any taxes arising in connection with your use of the Extended Services, and that the reporting and payment of any such applicable taxes are your responsibility. Extended Services sales prices are exclusive of Transaction Taxes, which may be applicable. 

 3. Eligibility Requirements. In addition to accepting these Extended Services Terms, you must meet the following requirements during the Term (defined below) to participate in the Extended Services Program and create an Extended Services Account:

1. 1. You must be at least eighteen (18) years of age and located in the United States 
   2. You must have a Roblox Account and a valid email address associated with that Roblox Account; 
   3. You must have a valid ID;
   4. Your moderation status must be “Trusted”; and
   5. If you are accepting these Terms on behalf of a corporation, limited liability company, partnership, or other legal entity, you represent that you have authority to act on behalf of that entity, and that such entity accepts these Extended Services Terms. In that case, “you” and “your” will refer to that entity.

4. Compliance with Applicable Terms

1. 1. General. You may access and use the Extended Services in accordance with these Extended Services Terms. 
   2. Third-Party Services. If Roblox makes any Third-Party Services available to you in connection with the Extended Services, your use of those Third-Party Services is subject to any terms and conditions presented by such Third-Party Services, and as set forth in the Roblox Terms.

5. Your Responsibilities

1. 1. Technical Support. You are responsible for operation, integration, and technical support of your Experiences. Except to the extent required by applicable law, Roblox is under no obligation to provide technical support or other services.
   2. Compliance. You are solely responsible for making sure your Experiences and use of Extended Services comply with these Extended Services Terms and with applicable law. Roblox reserves the right to review your Experiences and use of Extended Services, including to ensure your compliance with these Extended Services Terms. You acknowledge and agree that you are responsible for all use of Extended Services by any third party under your control, management, or supervision and for otherwise ensuring that such parties comply with these Terms. You will not, and will not allow any third party under your control, management, supervision, or otherwise to, use Extended Services: (i) other than in connection with your Experiences or the Services; (ii) in a manner intended to avoid incurring Fees or to circumvent usage limits or quotas; or (iii) in a manner that violates the rights of any third parties, any applicable law, or the Roblox Terms.
   3. Accurate and Updated Information. It is important that you provide us with accurate, complete, and current information (including any payment method information, as set forth in further detail in Section 7 below) with respect to your Extended Services Account and keep this information up to date. If you do not do so, we may have to suspend or terminate your Extended Services Account.
   4. Enabling Extended Services in Experiences. Once you have satisfied all eligibility requirements and set up your Extended Services Account to begin using the Extended Services, you are responsible for activating such Extended Services (or any portion thereof, as applicable) in your Experience(s). You may enable (or disable) these Extended Services at any time by toggling the button next to the appropriate Extended Services feature on the Service Enablement page available on your Experience-specific dashboard, following the instructions provided within Creator Hub.
   5. Groups; Multiple Experiences. If you are accepting these Terms on behalf of a group of Creators (e.g., a group-owned Experience) (a “Group”), you represent that you have authority to act on behalf of that Group, and that such Group accepts these Extended Services Terms. In that case, “you” and “your” will refer to that Group. If you own multiple Experiences (whether or not such Experiences include any Group-owned Experiences), you hereby agree and acknowledge that your acceptance of these Terms will constitute acceptance for all of your owned Experiences. 

6. Maintenance. Roblox may, from time to time, apply upgrades, patches, bug fixes, or other maintenance to the Extended Services (“Maintenance”). Roblox will use commercially reasonable efforts to provide you with prior notice of any scheduled Maintenance (except for emergency Maintenance), and you agree to use reasonable efforts to comply with any Maintenance requirements that Roblox notifies you about.

7. Fees and Payment

1. 1. Extended Service Fees. Roblox requires payment of Fees for use of the Extended Services (or certain portions thereof) and you agree to pay such Fees. The Fees for each Extended Service offering will be as stated in the Extended Services pricing page. To the maximum extent permissible under applicable law, Roblox may increase or introduce new Fees and charges for any existing Extended Service offering at any time after prior notice. Any new or changed charges will apply to the applicable Extended Service offering as of the date specified in the relevant notice, or if no such date is specified then with immediate effect. 
   2. Payment Method. As part of the registration process for Extended Services, you may be asked to provide a credit card, debit card, or other method of payment accepted by Roblox, and may be able to link alternative means of payment accepted by Roblox to your Extended Services Account (each a “Payment Method”). You authorize Roblox’s third-party payment service provider to save your chosen Payment Method's information (e.g., credit card information). You represent and warrant that you have the legal right to use all Payment Methods provided by you. You expressly authorize our third-party payment service provider to charge you for use of the Extended Services (each such transaction, a "Transaction") by using a valid Payment Method stored in your Extended Services Account. We may ask you to supply additional information relevant to your Transaction, including but not limited to verifying your identity or billing address. By initiating a Transaction, you agree to the payment and billing policies in this Agreement, the pricing details set forth in the Extended Services pricing page, and any other policies that are otherwise communicated to you by Roblox that are applicable to such fees and charges. All payments for Transactions are non-refundable and non-transferable, except as expressly provided in the Extended Services Terms.
   3. Billing. At the end of the calendar month or other period specified by Roblox (the “Fee Accrual Period”), Roblox will issue an electronic bill to you for all charges based on your use of Extended Services during the applicable Fee Accrual Period. If Roblox reasonably determines based on evidence available to us that you are at risk of non-payment or that your Extended Services Account is potentially fraudulent, then we may invoice you more frequently. You agree to pay all Fees in the currency stated in the invoice. You authorize Roblox or our third-party payment service processor to charge (and you will pay) all Fees immediately at the end of the Fee Accrual Period using the Payment Method linked to your Extended Services Account. Unless required by law, your obligation to pay all Fees is non-cancellable. Roblox’s measurement of your use of the Extended Services is final. We may notify you if the measurement of your usage is close to any limit or cap you select in your settings in Creator Hub. Roblox has no obligation to provide multiple bills. You are obligated to pay all applicable Fees without any requirement for Roblox to provide any notification regarding your usage limit, any purchase order number on Roblox’s invoice, or otherwise.
   4. Delinquent Payments. If any payment made via your chosen Payment Method is rejected, denied, not received by Roblox or our third-party payment service provider, or returned unpaid for any reason: (i) we may disable, limit, restrict, suspend, or terminate your access to Extended Services (in each case in whole or in part) until your payment is properly processed; (ii) charges may continue to be incurred and you are liable to us for any Fees, costs, expenses, or other amounts incurred by us in collecting amounts arising from such rejection, denial, or return (and we may charge you for such amounts); and (iii) we may charge late fees up to the maximum amount permissible under law from the payment due date until paid in full.
   5. Payment Disputes & Refunds. In the event of a dispute of Fees paid by you to Roblox, if Roblox, having reviewed the dispute in good faith, determines that certain billing inaccuracies are attributable to us, we will not issue a corrected invoice, but will instead issue a refund to you of the disputed amount. Refunds given by us for billing inaccuracies under this Section will only be in the form of cash for Extended Services. Nothing in these Extended Services Terms obligates us to extend credit to any party. EXCEPT AS SET FORTH IN THIS SECTION OR SECTION 10(C) BELOW, YOU WILL NOT RECEIVE ANY OTHER CREDIT (OR REFUND) FOR ANY PORTION OF FEES PAID TO ROBLOX FOR EXTENDED SERVICES. To submit a dispute, please contact Roblox Support at https://www.roblox.com/support.
   6. Transaction Taxes. You are responsible for any Transaction Taxes, and will pay Roblox for the Fees without any reduction for Transaction Taxes. If Roblox is obligated to collect or pay any Transaction Taxes, the Transaction Taxes will be invoiced to you and you will pay such Transaction Taxes to Roblox. You agree to provide us with any applicable tax identification information that Roblox may require under applicable law to ensure its compliance with applicable tax regulations and authorities in applicable jurisdictions. You will be solely liable to pay (or reimburse Roblox for) any taxes, interest, penalties, or fines arising out of any mis-declaration made by you.

8. Intellectual Property Rights.

1. 1. Roblox IP. As between you and Roblox, Roblox retains all rights in and to the Extended Services, which shall be Roblox Intellectual Property. Except as expressly stated in these Extended Services Terms, Roblox does not grant to you any rights, implied or otherwise, to Roblox Intellectual Property or any other intellectual property rights.
   2. Transfer of Group Ownership. If you intend to transfer the ownership of any Group(s) you own to another user, then you, as the then-current owner, will be required to satisfy certain criteria in order to initiate the transfer process. Such criteria may include, without limitation, disabling any Extended Services enabled for such Group(s) and paying any remaining or payable balance for such Group(s). Failure to do so will prevent you from initiating any such transfer of ownership.

9. Suspension. Without limiting the generality of any other provision in these Terms, if Roblox becomes aware that your use of the Extended Services, or that of any third party under your control, management, or supervision, violates these Extended Services Terms or the Roblox Terms, Roblox may notify you and request that you correct the violation. If Roblox requests you to correct the violation and you fail to do so, then Roblox may disable, limit, or otherwise suspend all or part of your access to and use of Extended Services until the violation is corrected. Notwithstanding anything to the contrary in these Extended Services Terms, Roblox may immediately disable, limit, or otherwise suspend all or part of your use of or access to Extended Services if Roblox reasonably believes such suspension is required to, without limitation, comply with applicable law, address a material security risk, or avoid a substantial economic or material technical burden. Roblox may lift any suspension when the circumstances giving rise to the suspension have been resolved.

10. Term and Termination

1. 1. Term. These Extended Services Terms will commence when you accept these Extended Services Terms or first download, install, or access the Extended Services and continue until terminated as set forth below (“Term”).
   2. Termination by Roblox. Roblox may terminate these Extended Services Terms and Extended Services for its convenience at any time with thirty (30) days prior written notice to you. To the extent permitted under applicable law, Roblox may, at its sole discretion, terminate these Extended Services Terms, suspend, modify, restrict, or terminate your access to or use of Extended Services (in whole or in part) immediately upon written notice to you: (i) if you or any third party under your control, management, or supervision, violate any provision of these Extended Services Terms or the Roblox Terms; (ii) if you have received notification of failure of payment (through email or on the Activities page of your Creator Hub) after not paying the Fees or other amount(s) owed by you to Roblox within the applicable due date (including if your registered Payment Method fails to be processed successfully for payment), and you have not paid such amount(s) within the grace period specified in such notice      after receipt of the      notice; (iii) if you no longer satisfy or meet any of the eligibility criteria set forth in Section 3; or (iv) for any other reason stated in the Roblox Terms. For clarity, termination or suspension of your Extended Services Account will not automatically terminate or suspend your Roblox Account, as eligibility requirements for your Roblox Account are separate from those for your Extended Services Account; however, if your Roblox Account is terminated, this will terminate your Extended Services Account or if your Roblox Account is suspended, this will suspend your Extended Services Account until further notice.
   3. Termination by Creator. You may stop using Extended Services at any time. You may terminate these Extended Services Terms at any time by disabling usage on the Extended Services Page under your Experience in Creator Hub following the instructions provided within Creator Hub. 
      1. You will remain responsible for payment of all remaining Fees (plus any applicable Transaction Taxes) incurred through the date of termination. If you terminate, your right to use the Extended Services will immediately terminate without further charges. 
      2. Except as set forth in any region-specific terms, if you terminate your use of Extended Services or these Extended Services Terms, you are not entitled to a refund of any Fees paid to Roblox.
   4. Effect of Termination. If these Extended Services Terms are terminated, then: (i) all rights and access to Extended Services will terminate, unless otherwise described in these Extended Services Terms; and (ii) all Fees owed by you to Roblox are immediately due upon your receipt of the final electronic bill or as stated in the final invoice.
   5. Survival. Upon any termination or discontinuation of the Extended Services or your Extended Services Account or Roblox Account, the following Sections of these Extended Services Terms will survive: Sections 7 (as to payment of remaining Fees, if any), 8, 10(d), 10(e), 11, 13, 14, and 15.

11. Warranty Disclaimer. THE EXTENDED SERVICES ARE PROVIDED “AS IS” AND ON AN "AS AVAILABLE" BASIS WITH ALL FAULTS, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMISSIBLE UNDER APPLICABLE LAW, WITH RESPECT TO ANY PORTION OF THE EXTENDED SERVICES, YOU UNDERSTAND AND AGREE THAT ROBLOX EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES OF ANY KIND OR NATURE, WHETHER EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND SATISFACTORY QUALITY. We make no warranty that the Extended Services will meet your requirements or be available on an uninterrupted, secure, or error-free basis.

12. Beta Services. ANY BETA SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITH ALL FAULTS, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. Use of any technology, software, services, or other features made available by Roblox in a beta trial period before general commercial release to the public (“Beta Services”) is at your own risk and such use may include known and unknown bugs. Roblox has no obligation to make the Beta Services available with or without charge for any period of time, or to make the Beta Services available at all. Your obligations regarding use of Extended Services, including any restrictions and conditions on your use as stated in these Extended Services Terms, also apply to your use of the Beta Services.

13. Indemnity. You will defend and indemnify the Affiliated Parties from and against every claim, liability, damage, loss, and expense, including reasonable attorneys’ fees and costs, arising out of or in any way connected with: (a) your access to, use of, or alleged use of the Extended Services; or (b) your violation of (i) any part of these Extended Services Terms, (ii) any representation, warranty, or agreement referenced in these Extended Services Terms, or (iii) any applicable law or regulation. Roblox reserves the right, at Roblox’s own cost, to take on the exclusive defense and control of any matter subject to indemnification by you (without limiting your indemnification obligations with respect to that matter), and in that case, you agree to cooperate with Roblox’s defense of that claim.

14. Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE AFFILIATED PARTIES BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES (INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, OR ANY OTHER INTANGIBLE LOSS), WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT ROBLOX HAS BEEN INFORMED OF THE POSSIBILITY OF DAMAGE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF THE AFFILIATED PARTIES TO YOU FOR ALL CLAIMS (INCLUDING WARRANTY CLAIMS) OR CAUSES OF ACTION ARISING OUT OF OR IN CONNECTION WITH THESE EXTENDED SERVICES TERMS OR FROM THE USE OF OR INABILITY OR USE THE EXTENDED SERVICES IS LIMITED TO: (A) THE TOTAL AMOUNT PAID OR PAYABLE BY YOU TO ROBLOX UNDER THESE EXTENDED SERVICES TERMS FOR THE TWELVE-MONTH PERIOD PRECEDING THE TIME WITHIN WHICH YOU NOTIFY ROBLOX OF A CLAIM; OR (B) TO THE EXTENT THAT YOU HAVE NOT PAID ROBLOX ANYTHING IN THE TWELVE (12)-MONTH PERIOD PRECEDING THE TIME WITHIN WHICH YOU NOTIFY ROBLOX OF A CLAIM: $1,000 USD.

15. Governing Law. These Extended Services Terms are governed by the laws of the State of California without regard to its conflict of law principles. Except for small claims court actions, any Dispute that is not subject to the Arbitration Agreement as outlined in Section 11 of the Roblox Terms (including if the Arbitration Agreement is for any reason held to be unenforceable) may only be litigated in the federal or state courts of San Mateo County, California, and you and Roblox consent to jurisdiction in those courts for such purposes, except as otherwise provided by the European Union’s General Data Protection Regulation.
